TERMS, CONDITIONS AND PRIVACY AGREEMENT

This Agreement has two parts. Part A – License Terms sets out the terms on which Vericatch Solutions (“Vericatch,” “we,” “us,” or “our”) licenses its electronic logbook product to you, as described below. Part B – Privacy Policy explains how Vericatch collects, uses, discloses, and protects your personal information.

Vericatch’s software product, FisheriesApp, now in its second generation as FisheriesApp2, provides electronic logbook (“ELOG”) functionality across a range of fisheries reporting specifications. In this Agreement, “Vericatch ELOG(s)” means one or more of Vericatch’s electronic logbook products, and may be referred to interchangeably as “Vericatch ELOG(s),” “FisheriesApp,” “FisheriesApp2,” or the “App.” As people may subscribe to use one or more ELOG with Vericatch, we say ELOG(s) to mean one or more ELOGs. “ELOG” is a generic industry term and is not, by itself, a trademark of Vericatch; “Vericatch” and “FisheriesApp” are trademarks of Vericatch Solutions, as further described in Section A8.

By creating Vericatch ELOG(s) account, or accessing or using Vericatch ELOG(s), you agree to both Part A and Part B of this Agreement.

Part A – License Terms

A1. Acceptance

By creating Vericatch ELOG(s) account, clicking “I Agree,” or otherwise accessing or using Vericatch ELOG(s), you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use Vericatch ELOG(s). You confirm that you are of the age of majority in your province, state, or country of residence, and that you meet the age requirement described in Part B, “Children’s Information.”

A2. Grant of License

Subject to your compliance with this Agreement and payment of the applicable subscription fee, Vericatch grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use Vericatch ELOG(s), solely for your own use in connection with your fishing or fisheries management activities.

This license is issued to one individual only. You may install and use Vericatch ELOG(s) on multiple devices that you personally own or control, as permitted under Section A5 (Permitted Platforms), provided the license is not shared with, or used on behalf of, any other individual. Your Vericatch ELOG(s) login credentials are personal to you and must not be shared, sold, rented, or transferred to any other person.

Vericatch may also make Vericatch ELOG(s) available to you on a trial basis, free of charge, for a limited period, and in a version that does not permit the submission of real data to any recipient, including government authorities (a “Trial”). Except as otherwise stated in this Section A2, all terms of this Agreement apply equally to your access to and use of a Vericatch ELOG during a Trial, including this license grant, the restrictions in Section A6, the disclaimer of warranties in Section A11, and the limitation of liability in Section A12. Vericatch may modify, suspend, or end a Trial, or your access to it, at any time and in its sole discretion, and no data entered during a Trial is submitted to, or relied upon by, any government authority. If you purchase a paid subscription following a Trial, the Subscription Term and automatic renewal terms in Section A3 apply from the date of purchase. Activity related data entered in Trial ELOG(s) will be deleted at the end of the Trial period.

A3. Subscription Term and Automatic Renewal

Vericatch ELOG(s) are provided on a subscription basis. Your initial subscription term is one (1) year from the date of purchase (the “Subscription Term”). Unless you cancel before the end of the then-current Subscription Term, your subscription will automatically renew for successive one (1) year terms, and you authorize Vericatch (or its payment processor, Stripe) to charge your payment method on file for each renewal at the then-current subscription price.

You may cancel automatic renewal at any time through your account settings or by contacting us using the information in Part B, “Contact Us.” Cancellation takes effect at the end of the current Subscription Term; no partial refunds are provided for the unused portion of a term unless required by law.

We may change subscription pricing for future renewal terms and will provide you with reasonable advance notice before any price change takes effect.

A4. Fees and Payment

Subscription fees are payable in advance and processed through our third-party payment processor, Stripe, as described in Part B. Vericatch does not collect or store your payment card details. You are responsible for keeping your payment information current; if a renewal payment fails, we may suspend or terminate your access to Vericatch ELOG(s) until payment is resolved.

A5. Permitted Platforms

Vericatch ELOG(s) may be accessed (a) through a supported web browser on a desktop or laptop computer, (b) as an application installed on a supported mobile phone or tablet, or (c) through any other device or platform supported or recommended by Vericatch from time to time. You are responsible for ensuring your device and internet connection meet the minimum requirements to run Vericatch ELOG(s), and for any data or carrier charges associated with your use of Vericatch ELOG(s).

You agree that you will not, and will not permit any other person to:

Vericatch ELOG(s) are designed to help you record and submit fishing and catch-related data, which may in turn be shared with appropriate government authorities such as the Canadian Department of Fisheries and Oceans, as described in Part B. You are solely responsible for the accuracy and completeness of the data you enter into Vericatch ELOG(s) and for meeting your own legal and regulatory reporting obligations. Vericatch does not review, verify, or guarantee the accuracy of the data you submit, and use of Vericatch ELOG(s) does not replace your responsibility to comply with applicable fisheries laws and regulations.

A8. Intellectual Property

Vericatch ELOG(s), including its software, design, text, graphics, logos, and all related intellectual property, is owned by Vericatch (or its licensors) and is protected by copyright, trademark, and other laws. Except for the limited license granted in this Agreement, no rights, title, or interest in Vericatch ELOG(s) are transferred to you. Vericatch, FisheriesApp, FisheriesApp2, and KnowYour.Fish are trademarks of Vericatch Solutions. “ELOG” and “ELOGs” are generic industry terms and are not, by themselves, trademarks of Vericatch.

A9. Updates and Availability

We may update, modify, or change features of Vericatch ELOG(s) from time to time, including to improve functionality or security, or to comply with regulatory requirements. We will make reasonable efforts to notify you of material changes. We do not guarantee that Vericatch ELOG(s) will be available at all times, uninterrupted, or free of errors, and we may suspend access for maintenance or other operational reasons.

A10. Term and Termination

This Agreement remains in effect for as long as you hold an active Vericatch ELOG(s) subscription. We may suspend or terminate your license and access to Vericatch ELOG(s), with notice where reasonably practicable, if you breach this Agreement, fail to pay applicable fees, or engage in conduct we reasonably believe is unlawful, fraudulent, or harmful to Vericatch, other users, or third parties. You may terminate this Agreement at any time by cancelling your subscription and ceasing to use Vericatch ELOG(s).

Where this Agreement ends because your subscription is cancelled or not renewed, you may continue to access and use Vericatch ELOG(s) until the end of your then-current paid Subscription Term. After that date, your license is limited solely to reviewing previously submitted records, to the extent required by government or other applicable law; all other use of Vericatch ELOG(s) must stop and the platform will become blocked and inaccessible. This does not limit our right, described above, to suspend or terminate your access earlier where you have breached this Agreement, failed to pay applicable fees, or engaged in unlawful conduct. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply. Our retention of any personal information after termination is governed by Part B.

A11. Disclaimer of Warranties

To the fullest extent permitted by law, Vericatch ELOG(s) are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Vericatch does not warrant that Vericatch ELOG(s) will be uninterrupted, error-free, or completely secure, or that it will meet your specific requirements.

A12. Limitation of Liability

To the fullest extent permitted by law, Vericatch and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of, or inability to use, Vericatch ELOG(s), even if advised of the possibility of such damages. Vericatch’s total aggregate liability arising out of or related to this Agreement will not exceed the amount you paid to Vericatch for Vericatch ELOG(s) in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in this Agreement limits any liability that cannot be limited or excluded under applicable law, including for residents of jurisdictions that do not allow certain limitations.

A13. Indemnification

You agree to indemnify and hold harmless Vericatch and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of this Agreement, your misuse of Vericatch ELOG(s), or your violation of any law or the rights of a third party.

A14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You and Vericatch agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, for any dispute arising out of or relating to this Agreement, subject to any mandatory consumer protection or other laws of your country or province of residence that cannot be waived and that entitle you to bring a claim in your local courts.

A15. General Provisions

Entire Agreement

This Agreement, comprised of these License Terms (Part A) and the Privacy Policy (Part B), constitutes the entire agreement between you and Vericatch regarding Vericatch ELOG(s) and supersedes any prior agreements relating to its subject matter.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any provision of this Agreement is not a waiver of our right to do so later.

Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets, as described in Part B.

Changes to this Agreement

We may update this Agreement from time to time. We will post the updated Agreement with a revised effective date and, where required by law, provide additional notice. Your continued use of Vericatch ELOG(s) after changes take effect constitutes your acceptance of the revised Agreement.

Language

This Agreement (comprised of these License Terms (Part A) and the Privacy Policy (Part B)) is prepared and published in both English and French. Where available, Vericatch will generally display the version corresponding to your browser’s or device’s language settings, and you may select your preferred language directly within Vericatch ELOG(s) or on our website where technically available.

We have taken care to ensure the French version accurately and completely reflects the English version. However, if there is any conflict, ambiguity, or difference in interpretation between the English and French versions of this Agreement, the English version will govern and control, except where applicable law provides otherwise.

Vericatch Solutions (“Vericatch”, “we” or “our”) is committed to protecting your privacy and safeguarding your personal information.  The purpose of this privacy policy is to inform you about our privacy practices, including how we collect, use and disclose your personal information.

    • When you participate in our Test Crew program, we may collect your first and last name, email address province or territory, fishing area, what species you fish for, your fishing season, and type of device used.
  • Catch Data, i.e. fishing areas, which may include messages, materials, data, text, commercial information, sounds, photos, videos, graphics, code or applications that contain personal information.
  • Information we automatically collect: log data and information relating to your use of our products and services.

    Like most websites and other Internet services, we may collect certain technical and device information about your use of our website.  Such information may include your Internet protocol address, information about your device, browser and operating system, and the date and time of your visit.

    We may also use “cookies” or enlist third party services which use cookies to track your preferences and activities on our website. Subject to applicable laws, your consent may be express or implied, depending on the circumstances and the sensitivity of the personal information in question.  If you choose to provide personal information to us, we assume that you consent to the collection, use and disclosure of your personal information as outlined in this privacy policy.

Typically, we will seek your consent at the time your personal information is collected. Where we want to use your personal information for a purpose not previously identified to you at the time of collection, we will seek your consent prior to our use of such information for this new purpose.

We rely on third party services providers to perform a variety of services on our behalf, including without limitation, vendors, consultants and credit card or payment processing companies (“Service Providers”). When we engage Service Providers who manage customer information on our behalf and/or perform services on our behalf, such as conducting surveys, sending communications or helping prevent fraudulent transactions, we may share your personal information with such Service Providers under the requirement that such personal information is used only to provide services to us.

We do not collect payment card information. If you make an online payment using a payment card, such as a credit card or debit card, you are connected directly to Stripe and your payment card information is collected and processed by that service provider.

If we provide your information to service providers, then we require that the service providers maintain the confidentiality of your personal information and keep your personal information secure.  We also require that they only use your personal information for the limited purposes for which it is provided.  When our service providers no longer need your personal information for those limited purposes, we require that they dispose of the personal information. We do not authorize the service providers to disclose your personal information to unauthorized parties or to use your personal information for their direct marketing purposes.  If you would like more information about our service providers, please contact us using the contact information in the “Contact Us” section below.

Additionally, we may use and disclose your information when we believe such use or disclosure is permitted, necessary or appropriate:

(a) under applicable law, including laws outside your country of residence;
(b) to comply with legal processes;
(c) to respond to requests from public and government authorities
(d) to enforce the terms of the agreements for our products and services;
(e) to protect our operations or those of any of our affiliates or subsidiaries;
(f) to protect our rights, privacy, safety or property, and/or those of our affiliates, you or others; and
(g) to allow us to pursue available remedies or limit the damages that we may sustain.  In addition, we may transfer your personal information and other information to a third party in the event of any reorganization, merger, sale, joint venture, assignment, transfer or other disposition of all or any portion of our business, brands, affiliates, subsidiaries or other assets.

If we otherwise intend to disclose your personal information to a third party, we will identify that third party and the purpose for the disclosure, and obtain your consent.

Opting Out of Communications

If you no longer want to receive marketing-related emails from us, you may opt out of receiving marketing-related emails by clicking the “unsubscribe” link at the bottom of any email you receive from us, or, if you created an online account when you registered to receive our emails, you may log-in to your account and make changes to your communication preferences.  You may also opt out by using the contact information in the “Contact Us” section below.

We will endeavour to respond to your opt-out request promptly, but we ask that you please allow us a reasonable time to process your request.  Please note that if you opt-out from receiving marketing-related emails, we may still need to send you communications about your use of our products or services, or other matters.

Retention of Personal Information

We will use, disclose or retain your personal information only for as long as necessary to fulfill the purposes for which that personal information was collected and as permitted or required by law.

Information Security

We have implemented physical, organizational, contractual and technological security measures with a view to protecting your personal information and other information from loss or theft, unauthorized access, disclosure, copying, use or modification.  We have taken steps to ensure that the only personnel who are granted access to your personal information are those with a business ‘need-to-know’ or whose duties reasonably require such information.

Despite the measure outlined above, no method of information transmission or information storage is 100% secure or error-free, so we unfortunately cannot guarantee absolute security.  If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of any information that you provided to us has been compromised), please contact us immediately using the contact information in the “Contact Us” section below.

Rights Regarding Your Personal Information

We will take steps to ensure that your personal information is kept as accurate, complete and up-to-date as reasonably necessary. We will not routinely update your personal information, unless such a process is necessary. We expect you, from time to time, to supply us with updates to your personal information, when required.

However, to make sure that the information we hold on you is accurate and up to date, please inform us immediately of any change in your personal information.

On written request and subject to proof of identity, you may consult the personal information that we have collected, used or disclosed, and ask that any necessary corrections be made, where applicable, as authorized or required by law.

In addition, under certain circumstances, you have the following rights:

  • Withdrawal of your consent. You may withdraw your consent to the disclosure or use of the personal information collected;
  • If applicable, you may have the right to request that personal information held about you no longer be disclosed;
  • Where applicable, you may have the right to request information about the use of any automated decision system and the impact it may have on you.

Under the GDPR, if you are located within the European Union (“EU”), you may be entitled to additional rights, including: (i) the right to withdraw consent to processing where consent is the basis of processing; (ii) the right to object to unlawful data processing, under certain conditions; (iii) the right to erasure of Personal Information about you, under certain conditions; (iv) the right to demand that we restrict processing of your Personal Information, under certain conditions, if you believe we have exceeded the legitimate basis for processing, processing is no longer necessary, or believe your Personal Information is inaccurate; (v) the right to data portability of Personal Information concerning you that you provided us in a structured, commonly used, and machine-readable format, under certain conditions; (vi) the right to object to decisions being taken by automated means which produce legal effects concerning you or similarly significantly affect you, under certain conditions. You also have the right to lodge a complaint with the relevant data protection authority.

We may require that you provide sufficient identification to fulfill your request to access or correct your personal information.  Any such identifying information will be used only for this purpose.

For Canadian users using the site and the services to submit catch data within Canada only: you have the right to the correction of, access to, and protection of your personal information under the Privacy Act. If you have any concerns about the Department of Fisheries and Oceans’ treatment of your personal information, you may contact the Department’s Access to Information and Privacy Coordinator. If you are not satisfied with the outcome, you may then file a complaint with the Privacy Commissioner of Canada. International and Interprovincial Transfer and Storage of Information

l information may be stored and processed in Canada and in any country where we have facilities or in which we engage third party service providers. As a result, your personal information may be transferred to countries outside your country of residence, which may have different data protection rules than in your country. While such information is outside of your country, it is subject to the laws of the country in which it is located, and may be subject to disclosure to the governments, courts or law enforcement or regulatory agencies of such other country, pursuant to the laws of such country. However, our practices regarding your personal information will at all times continue to be governed by this Privacy Policy and, if applicable, we will comply with the GDPR requirements providing adequate protection for the transfer of personal information from the EU to third country, such as standard contractual clauses.

Third Party Websites and Services

This privacy policy applies only to our products and services.  This privacy policy does not extend to any websites or products or services provided by third parties. We do not assume responsibility for the privacy practices of such third parties, and we encourage you to review all third party privacy policies prior to using third party websites or products or services.

Children’s Information

Our products and services are not intended for children under the age of 16, and we do not knowingly collect personal information from children under the age of 16.  Children under the age of 16 should not use our products and services and should not provide us with their personal information.

Privacy Policy Updates

    • Through applications such as ELOGS, we may collect your first and last name, email address, encrypted password, phone number, fishing licence number, vessel name, vessel registration number, ELOGS key, information about your role (for example, fisher or fishery manager).     • When you participate in our Test Crew program, we may collect your first and last name, email address province or territory, fishing area, what species you fish for, your fishing season, and type of device used.
  • Catch Data, i.e. fishing areas, which may include messages, materials, data, text, commercial information, sounds, photos, videos, graphics, code or applications that contain personal information.
  • Information we automatically collect: log data and information relating to your use of our products and services.

We do not collect payment card information. If you make an online payment using a payment card, such as a credit card or debit card, you are connected directly to Stripe and your payment card information is collected and processed by that service provider.

If we provide your information to service providers, then we require that the service providers maintain the confidentiality of your personal information and keep your personal information secure.  We also require that they only use your personal information for the limited purposes for which it is provided.  When our service providers no longer need your personal information for those limited purposes, we require that they dispose of the personal information.
